Both parties agree to the following terms and conditions:
1.& & & & shipment:
Date of bill of lading shall be accepted as conclusive of shipment.
Partial shipment and/or transhipment shall be permitted.
If shipment is prevented or delayed in whole or in party,by reason of acts of god,or the consequence thereof,affecting Seller or any supplier to Seller of the goods sold hereunder or any manufacturer of goods sold hereunder or any supplier to such manufacturer,such Acts of God to include but not limited to fire,flood,typhoon,earthquake,or by reason of
riots,wars,hostilities,governmental restrictions,trade embargoes,strikes,lockouts,labour disputes,boycotting of japanese goods,unavailability of transportation or loading facilities,wrecks,delays or damages in transportation or any other causes of a nature beyond Seller’s control,
then,Seller may,at its option,perform the contract or the unfulfilled portion thereof within a reasonable time from the removal of the cause preventing or delaying performance,
or rescind unconditionally and without liability this contract or the unfulfilled portion thereof.
2.& & & & payment:Irrevocable and confirmed letters of credit negotiable on sight draft shall be established through a prime bank satisfactory to Seller immediately after conclusion of contract with validity of at least 15 days after the last day of the month of shipment of negotiation of the relative draft.
If Buyer fails t provide such letter(s) of credit,Seller shall have the option of reselling the contracted goods for Buyer’s account,holding the goods for Buyer’s account and risk,and/or cancelling the contract and claiming foe damages caused by Buyer’s default.
3.& & & & Insurance:
In case of CIF or C&F basis,110% of the invoice amount will be insured unless otherwise agreed.
在CIF或C&F术语成交的基础上，除非另有规定，一般按发票金额110%投保。
Any additional premium for insurance coverage over 110% of invoice amount,if so required,shall be borne by Buyer and shall be added to the invoice amount,for which the letter of credit shall stipulate accordingly.

4.& & & & Increased Costs 增加的费用
If Seller’s costs of performance are increased after the date of this agreement by reason of increased freight rates,taxes or other governmental charges,and insurance rates including war risk,or if any variation in rates of exchange increase Seller’s costs or reduces Seller’s return,Buyer agrees to compensate Sell for such increased cost or loss of income.
如果卖方的费用在本协议日后由于海运费率的增加、政府税收或其他费用的增加、战争险的保险费而增加，或任何有关增加卖方成本减少卖方收入的费用，买方同意补偿卖方因此增加的成本费用和收入损失。
5.& & & & claims 索赔条款
Buyer must give Seller written notice of any claim within 30 days od arrival of the goods at port of destination.

Unless such notice,accompanied by proof certified by an authorized surveyor,shall arrive at Seller’s office during such 30days period,Buyer will be deemed to have waived any claim.
除有此通知外，还必须持有授权机构出示的证明，在30天寄到卖方的办公地点。否则买方将被视为放弃索赔。
6.& & & & arbitration 仲裁条款
All disputes,controversy,or differences which may arise between the parties,out of or in relation to or in connection with this contract,or for the breach thereof,shall be finally settled by arbitration in Hong Kong in accordance with the rules and regulations of the Hong Kong Commercial Arbitration Association.
由双方引发的关于或与本合同有关的或由于违反本合同等产生的各种争端、争议或分歧，应根据香港商事仲裁协会在香港进行仲裁。

1、装船日期：
提单日期最终取决于装船日期
允许分批装运和（或）转运
若因某些因素造成整体或部分货物的装船延误，结果影响了买卖双方（包括相关商品制造商或供应商）的商品交易，卖方可自主选择在除去因造成中止或延误时间的一定期间内将未完成的部分完成，对合同或尚未实现部分不负任何责任的进行合同解除。这些因素不包括火灾、洪灾、台风、地震，或由动乱、战争、政府限制行为、贸易禁运、局部或全面罢工、劳资纷争、抵制日货、运输装载设施的限制、沉船、运输中的延误或耗损以及其他超出卖方范围的自然因素。
2、付款方式：买方须在合同建立时在卖方认可的一级大银行开设不可撤消、可转让、见票即付的保兑信用证，并在装船日期月末一天的15天有效期内向卖方提供相关汇票。若买方无法提供这样的信用证，卖方则有权将合同中规定的商品重新卖出，一切为担保货物的风险费用将由卖方承担，同样的，卖方也可以取消合同，并索取因买方失误造成的损失。
