Incorporation of Object Code License Agreement. The terms and conditions set forth in the Object Code License Agreement attached hereto as Schedule A, including without limitation,the capitalized terms defined therein. If there is a conflict between the terms of this Agreement and the terms of the Object Code License Agreement, the terms and conditions of this Agreement will prevail. Confidentiality. “Confidential information” shall mean any and all technical and non-technical documents and information provided by licensor to licensee under this Agreement including patent, copyright, trade secret and proprietary information, techniques, algorithms, software programs, documentation and other information related to a party’s (or CSR’s)current, Future and proposed products and services, and includes, without limitation, information concerning research, engineering, financial information, procurement requirements, purchasing, manufacturing, customer lists, business forecasts, sales and merchandising, and marketing plans and information, licensee agrees and acknowledges that the source code of the software and related documentation are CSR’s valuable trade secret and confidential information developed or acquired at great expense to CSR ,licensee shall at all times ,both during the term of this agreement and indefinitely thereafter, keep in confidence all confidential information or any object code provided in this agreement. Licensee shall take reasonable measures to maintain the confidentiality of the confidential Information, but not less than the measures it uses for its own confidential information of similar type. Licensee will immediately notify licensor of any unauthorized use or disclosure of the confidential information. Licensee agrees to assist licensor and CSR in remedying such unauthorized use or disclosure of the confidential information. Term and termination 6.1 Term of agreement.
